1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vantage Lumber, a division of Vantage Commodities LP ("Vantage Lumber," "we," "us," or "our"), governing your access to and use of our lumber trading platform, website, and related services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service.

2. Description of Service

Vantage Lumber provides a digital platform for lumber trading that facilitates transactions between mills, suppliers, and customers. Our Service includes:

• Order placement and management
• Price quotes and market information
• Invoice generation and delivery via email
• Logistics coordination and tracking
• Account management and reporting tools
• Customer support and communication

3. Account Registration

To use certain features of our Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information about yourself and your business
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security of your account credentials and notify us immediately of any unauthorized access
• Accept responsibility for all activities that occur under your account
• Be at least 18 years old and have the legal capacity to enter into binding contracts

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, illegal, or harmful activities.

4. Transactions and Orders

4.1 Order Placement

When you place an order through our Service, you are making an offer to purchase lumber products at the specified prices and terms. We reserve the right to accept or reject any order at our sole discretion.

4.2 Pricing

All prices are subject to change without notice. Prices are quoted in the currency specified and are valid for the time period indicated. We are not responsible for pricing errors and reserve the right to correct any errors, even after an order has been placed.

4.3 Payment Terms

Payment terms are specified in each transaction. Generally:

• Invoices will be sent to the email address associated with your account
• Payment is due according to the terms specified in the invoice
• Late payments may incur interest charges and may result in suspension of service
• We reserve the right to require advance payment or security deposits for certain transactions

4.4 Delivery and Shipping

Delivery terms, shipping methods, and timelines are specified in each order. We are not responsible for delays caused by carriers, weather, or other circumstances beyond our reasonable control. Risk of loss passes to you upon delivery to the carrier.

5. Email Communications

By using our Service, you consent to receive email communications from us, including:

• Order confirmations and updates
• Invoices and billing statements
• Shipping and delivery notifications
• Account security alerts
• Service-related announcements
• Marketing communications (with your consent)

Transactional Emails: You cannot opt out of transactional emails (invoices, order confirmations, etc.) as these are essential for the operation of our Service.

Marketing Emails: You may opt out of marketing emails by clicking the "unsubscribe" link in any marketing email or by contacting us at info@vantagelumber.com.

We use Amazon Web Services (AWS) Simple Email Service (SES) to send emails. By using our Service, you acknowledge that emails may be processed through AWS infrastructure located in various jurisdictions.

6. User Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws or regulations
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use automated systems (bots, scrapers, etc.) to access the Service without our express written permission
• Transmit any viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use the Service to compete with us or to develop competing products or services

7. Intellectual Property

The Service, including all content, features, functionality, and software, is owned by Vantage Lumber or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Disclaimers and Limitation of Liability

8.1 Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be available at all times or free from errors, interruptions, or security breaches. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

8.2 Product Information

We make reasonable efforts to ensure the accuracy of product information, but we do not warrant that product descriptions, prices, or other content is accurate, complete, or current.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANTAGE LUMBER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Vantage Lumber, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. We may delete your account and any data associated with it, subject to our data retention policies and legal obligations.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

11.2 Arbitration

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in Vancouver, British Columbia, in accordance with the rules of the British Columbia International Commercial Arbitration Centre, except where prohibited by law.

12. Compliance with Laws

You agree to comply with all applicable laws and regulations when using our Service, including:

• CAN-SPAM Act (for U.S. users)
• CASL (Canada's Anti-Spam Legislation)
• GDPR (for EU users)
• Export and import regulations
• Trade and commerce laws
